Terms of Service

These Terms of Service (“Terms”) are an agreement between you and CineDay Local for use of the CineDay Local app (the “App”).

By downloading, installing, or using the App, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the App.

1. The App

CineDay Local is a local video player. It lets you import videos you already have access to on your device, organize them into folders, trim clips, export clips you create, and resume playback. The App may be supported by advertising, including banner, native, interstitial, rewarded, and app-open ads from Google AdMob.

The App is not a streaming service, cloud locker, or file-hosting product. We do not provide a catalog of movies or TV shows in CineDay Local, and we do not upload, host, or transmit your library as an online service.

Features, supported formats, ads, and availability may change when the App is updated.

2. Eligibility

You must be at least 13 years old (or the minimum digital-consent age in your country, if higher) to use the App. If you use the App on behalf of an organization, you represent that you have authority to accept these Terms.

3. License

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, for your own lawful use, in line with these Terms and the app store rules (Apple App Store or Google Play).

4. Your content

You retain whatever rights you already have in files you import, trim, or export. The App does not grant you copyright or a license in anyone else’s material.

You are solely responsible for the videos and other files you add, and you represent that you have all rights and permissions needed to copy, store, play, trim, and export them on your device. Do not import pirated, stolen, or otherwise unauthorized media, or content that is illegal where you use the App.

CineDay Local is a tool that runs on your device. We do not review, monitor, or endorse your library. Importing a file does not make us the host, publisher, or distributor of that file.

If you export a clip to Photos or Files, you are responsible for how that copy is stored and shared.

You agree not to use the App to:

6. Advertising

The App may display third-party ads. Google and other ad partners are responsible for the ads they serve. We do not endorse products or services advertised in the App, and we are not responsible for the content of those ads or for sites or apps you open from an ad.

Ads may use device identifiers and technical data as described in the Privacy Policy. Clicking an ad may open a browser, App Store / Play listing, or another app.

You agree not to click ads except as a genuine user, and not to use any method that inflates impressions, clicks, or conversions.

7. Device features and third parties

The App uses operating-system features you choose: Photos, Files, share sheet, in-app review, email, and advertising SDKs. Apple, Google, and other providers have their own terms and privacy policies. We are not responsible for those services.

Playback, import, trim, export, and ads can fail because of unsupported codecs or containers, DRM-protected files, corrupt media, missing permissions, low storage, network conditions, ad-blocker settings, or device limits. The App does not promise to play every file or to show ads on every screen.

8. Intellectual property

The App, including its design, code, name, and trademarks, is owned by us or our licensors. These Terms do not transfer ownership to you. Third-party ad creatives remain the property of their owners.

9. Disclaimer

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, ad-free, or compatible with every file or device, or that data will never be lost. Keep your own copies of important videos outside the App.

Some places do not allow certain disclaimers. In those places, the disclaimer applies to the fullest extent allowed.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CINEDAY LOCAL AND ITS LICENSORS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, FILES, PROFITS, OR BUSINESS, ARISING FROM THE APP — EVEN IF ADVISED THAT SUCH LOSS WAS POSSIBLE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP IS LIMITED TO THE AMOUNT YOU PAID FOR THE APP IN THE THREE MONTHS BEFORE THE CLAIM, OR TEN U.S. DOLLARS (US $10), WHICHEVER IS GREATER.

These limits do not affect liability that cannot be limited under applicable law, including certain liability for fraud or for death or personal injury caused by negligence where such a limit is forbidden.

11. Indemnity

You will defend and indemnify us from claims, damages, and reasonable legal fees arising from your use of the App, your content, your interaction with ads, or your breach of these Terms or of others’ rights, to the extent permitted by law.

12. Changes

We may update the App and these Terms. The “Last updated” date will change when we do. If you continue to use the App after an update, you accept the new Terms. If you do not agree, uninstall the App.

13. Suspension and termination

You may stop using the App at any time by uninstalling it. We may stop offering the App or revoke the license if you breach these Terms, if we are required to by law or an app store, or if we discontinue the product. After termination, the license ends. Sections that should survive (including 4–11 and 14) remain in effect.

Uninstalling removes the App’s local copy of your library. It does not delete files that remain in Photos, Files, or your backups.

14. General

These Terms are the entire agreement for the App and replace prior terms for CineDay Local. If a provision is unenforceable, the rest still applies. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale. Failure to enforce a provision is not a waiver.

Where the law allows, these Terms are governed by the laws applicable to our operation of the App, without regard to conflict-of-law rules. Mandatory consumer protections in your country of residence still apply. You and we agree to try to resolve disputes informally first by emailing mengsuyuan@mengsuyuan.site.

App Store / Play Store: if you downloaded the App from Apple or Google, you also have a contract with that store. Apple and Google are not responsible for the App or for these Terms, except where their store rules say otherwise. They are third-party beneficiaries of the license limits in these Terms to the extent their rules require.
